Udyam registration for a Pvt Ltd company: who qualifies, the ₹250Cr threshold, and how it's different from Udyog Aadhaar

A Pvt Ltd qualifies as an MSME if its investment in plant and machinery or equipment is up to ₹50 crore and turnover up to ₹250 crore — a manufacturing company with ₹8 crore invested and ₹35 crore turnover is a Small enterprise under the amended MSMED Act 2006. Udyam registration is free, self-declared, and done at udyamregistration.gov.in. The old Udyog Aadhaar regime died on 1 July 2020; a pre-2020 Udyog Aadhaar number has no standing today.

What the law actually requires

The classification comes from the Micro, Small and Medium Enterprises Development (MSMED) Act 2006, as amended by the 2020 redefinition notified through S.O. 1702(E) dated 1 June 2020. The amendment replaced the old manufacturing-vs-service distinction (which used only investment in plant and machinery, with different thresholds for each sector) with a single framework using both investment and turnover:

Both limits must be satisfied, and turnover dominates. An enterprise is classified on the higher of its position — the notification provides that the enterprise will be classified where it breaches either the investment or the turnover ceiling of the lower category. In practice, turnover is the binding constraint for most companies: a firm with ₹9 crore invested and ₹60 crore turnover is Medium, not Small.

Investment means plant and machinery or equipment. For manufacturing, investment is in plant and machinery; for services, in equipment. Excluded from the computation: land, buildings, and the items listed in the MSME notification (pollution control, safety and R&D equipment, and similar). Turnover excludes export turnover, per the same notification — a company with ₹48 crore domestic and ₹10 crore export turnover counts only the ₹48 crore against the Small limit of ₹50 crore.

Udyam registration is the operative document. Registration is done online at udyamregistration.gov.in — for a Pvt Ltd, the Aadhaar of the authorised signatory and the company's PAN. Registration is free, self-declared, and instantaneous in the normal course; the certificate shows the enterprise's classification, a Udyam Registration Number (format UDYAM-XX-00-0000000), and a QR code. There is no renewal fee and, as of the current framework, registration is permanent unless the enterprise is reclassified.

Udyog Aadhaar is dead. The pre-2020 Udyog Aadhaar Memorandum (UAM) was the registration route under the old rules. The 2020 notification superseded it — existing UAM holders were expected to migrate to Udyam, and a Udyog Aadhaar number cannot be used to claim MSME benefits in FY 2025-26.

What changed FY 2025-26

  • Udyam 2.0 is the operative portal. The upgraded portal (launched 2023-24) introduced Udyam Assist for informal micro enterprises, self-identification of the enterprise type, and online grievance handling. For a Pvt Ltd the change is practical: Aadhaar-based validation of the authorised signatory is mandatory, and the portal auto-verifies PAN.
  • Classification is dynamic. Re-classification on an upward or downward movement is automatic where the enterprise crosses an investment or turnover boundary, so a company must keep its declared investment and turnover figures current — the portal reads your GST turnover where available.
  • The ₹250 crore medium ceiling is unchanged. There is no FY 2025-26 proposal to raise it; the S.O. 1702(E) framework still governs. What has shifted is downstream: banks and large buyers now verify Udyam status on the public portal before extending MSME-linked benefits, so an outdated or missing Udyam certificate costs real money.

Registration steps for BlueSky:

  • Gather documents — authorised signatory Aadhaar, company PAN, incorporation certificate, and the investment computation (asset register, excluding land, building and the notified excluded items).
  • Log in to udyamregistration.gov.in with the signatory's Aadhaar (OTP-validated) and the company PAN.
  • Enter the self-declared figures — investment and turnover. For a company, the portal asks for the enterprise type and the authorised signatory's details.
  • Submit and download the certificate — the Udyam Registration Number is generated immediately in the normal course, and the classification (Small) appears on the certificate.
  • Link the GSTIN — the portal reads turnover from GST filings where available; keeping the GSTIN linked keeps the declaration consistent with returns.

Why the registration is worth having

The certificate is the key that unlocks the MSME benefit stack — priority-sector lending (RBI), the CGTMSE credit guarantee, the 45-day payment protection of s.43B(h) ITA 1961, GeM procurement preference, and the Samadhaan remedy for delayed payment. Without a live Udyam number, a company that is economically a Small enterprise is treated as a large one for payment terms and lending — a distinction worth several lakh of working capital a year. The registration costs nothing and takes minutes.

FAQ

Does Udyam registration cost anything or need renewal?
No fee and, under the current framework, no periodic renewal. Registration is self-declared online with Aadhaar and PAN. What must stay current is the declared investment and turnover, since re-classification can move a company up or down the Micro/Small/Medium ladder.

Our company has ₹9 crore in plant and ₹60 crore turnover. What are we?
Medium. You breach the Small turnover ceiling of ₹50 crore, so under the S.O. 1702(E) rule the enterprise is classified at the higher category where either limit is crossed. The Medium ceilings are ₹50 crore investment and ₹250 crore turnover.

Is a service company eligible for Udyam registration?
Yes. Services count investment in "equipment" rather than plant and machinery, on the same ₹1 crore / ₹10 crore / ₹50 crore investment bands and the same turnover bands. An IT services Pvt Ltd is as registrable as a factory.

Is Udyog Aadhaar still valid for benefits?
No. The Udyog Aadhaar Memorandum was superseded by Udyam registration from 1 July 2020. Banks and buyers verify Udyam status online; a Udyog Aadhaar number does not appear on the portal and will not support a benefits claim in FY 2025-26.

Our turnover crossed ₹50 crore this year. Do we lose the Small classification immediately?
Re-classification happens against the declared figures on the portal, not at the exact moment of crossing. Update the self-declared investment and turnover at year-end; the certificate then moves to the correct category. Until the declaration is updated, keep a documented basis for the figures used in any MSME-linked benefit or s.43B(h) claim.
