What is the last date for holding the AGM for FY 2025-26?+
For a private limited company with March year-end, the AGM must be held within 6 months from the close of the financial year — i.e., by 30 September 2026 (s.96(1), Companies Act 2013). For the first financial year, the AGM can be held within 9 months from the close of that year.
When must AOC-4 and MGT-7 be filed after the AGM?+
AOC-4 (filing of financial statements) must be filed within 30 days of the AGM (s.137(1)). MGT-7 (annual return) must be filed within 60 days of the AGM (s.92(4)). For small companies and OPCs, MGT-7A applies (Rule 11A).
What is the late fee for delayed AOC-4 or MGT-7?+
The late fee is ₹100 per day per form with no upper cap (s.137(3) for AOC-4, s.92(5) for MGT-7). The company and every officer in default are liable for this penalty.
What is the difference between MGT-7 and MGT-7A?+
MGT-7A is the simplified annual return form for small companies (paid-up capital ≤ ₹4 crore AND turnover ≤ ₹40 crore) and OPCs (Rule 11A, Companies (Management and Administration) Rules 2014). MGT-7 applies to all other companies.
