If your company completed an SME IPO on NSE Emerge or BSE SME this year, your first post-listing financial-results filing deadline is approaching — here is exactly what you need to do.
Legal basis: SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Regulation 33 — submission of financial results; SME half-yearly reading of quarterly references.
The rule: 45 days, read half-yearly for SMEs
Regulation 33 requires the listed entity to submit quarterly and year-to-date standalone financial results to the stock exchange within forty-five days of end of each quarter (SEBI LODR, Reg. 33). For companies on the SME Exchange, quarterly references are read as half-yearly: "any reference to quarterly/quarter in case of listed entity which has listed their specified securities on SME Exchange shall be respectively read as half yearly/half year," and the year-to-date submission requirement does not apply to them (SEBI LODR, Reg. 33(5)).
Applied to H1 FY2026-27 (half-year ended September 30, 2026), the filing deadline is November 14, 2026 — 45 days from the half-year end.
What filing actually requires
This is not just uploading a PDF. The limited review report must be placed before the board of directors at the meeting that approves the results before submission to the exchange ("The limited review report shall be placed before the board of directors, at its meeting which approves the financial results, before being submitted to the stock exchange") (SEBI LODR, Reg. 33). For consolidated results, the statutory auditor of the listed entity undertakes a limited review of the audit of entities whose accounts are consolidated (SEBI LODR, Reg. 33(8)).
In practice, sequence the work as:
- Statutory auditor limited review — for unaudited half-yearly results, engage your auditor early; allow at least 3–4 weeks.
- Board approval — the board formally approves the results, with the limited review report before it.
- Exchange filing — results uploaded on the NSE/BSE portal with the limited review report.
- Company website publication — publish the results on the company website.
Common first-time mistakes
Assuming quarterly rules apply. Mainboard commentary cites quarterly filings everywhere. Confirm your exchange listing is NSE Emerge or BSE SME and apply the half-yearly reading — filing quarterly when half-yearly suffices wastes effort; assuming quarterly dates when half-yearly applies misstates the deadline in the other direction.
Treating the limited review as optional. For unaudited half-yearly results the auditor's limited review report goes to the exchange with the results. Engage the auditor weeks before the deadline, not days.
Scheduling the board meeting too late. The board meeting that approves results must have proper quorum. Schedule it at least a week before the filing deadline to leave buffer for exchange upload issues.
Consequences of missing the deadline
Late filing draws exchange fines that accrue per day of delay and can lead to surveillance or trading restrictions affecting the liquidity your IPO investors expect. Verify the current fine schedule and enforcement procedure from your exchange's latest circular — do not rely on forwarded summaries.
Next steps for newly-listed companies
- Confirm your exchange listing (NSE Emerge / BSE SME) and the applicable deadline (November 14, 2026 for H1 FY2026-27)
- Engage the statutory auditor for the limited review engagement now
- Schedule the board meeting to approve results with quorum secured
- File on the exchange portal and publish on the company website by the deadline
