What is the process for changing a company name?
Board resolution → check name availability on MCA V3 → Special Resolution at EGM → file Form MGT-14 (within 30 days) → file Form INC-24 with MCA (within 60 days of SR). On approval, the Registrar issues a new Certificate of Incorporation under Section 13(2) of the Companies Act 2013. Timeline: 3–6 weeks from EGM.
Does a name change require RBI or SEBI approval?
For an NBFC: yes — prior RBI approval under the Companies Act and NBFC Master Direction. For a listed company: intimation to stock exchanges under SEBI LODR Regulation 30 within 24 hours of board decision; no prior SEBI approval needed, but the change must be reflected in BSE/NSE records. For FDI-receiving companies: update FC-GPR and business activity reporting with RBI.
Can a company use any name?
No — Section 4(2) and Name Availability Guidelines 2011 (updated via MCA circulars) prohibit: names identical or nearly identical to existing registered names, names suggesting government affiliation without permission, certain restricted words (e.g. "bank", "insurance", "mutual fund") without regulator approval, and names too general or purely descriptive.
What happens to existing contracts, GST, and PAN after a name change?
PAN remains the same — the PAN card need not be changed, though the IT portal should reflect the new name. GST registration is amended via Form GST REG-14 — no new GSTIN. TAN stays the same. Existing contracts remain valid under the new name — counterparties should be notified and, where required, agreements novated. The old name must appear alongside the new name on invoices/stationery for a period stipulated by MCA.
Can a wholly foreign-owned subsidiary use a foreign brand name in India?
Yes — a name in a language other than English or Hindi is permissible if an English/Hindi transliteration is also provided. Foreign brand names must comply with the Name Availability Guidelines — no direct prohibition on foreign language names. However, if the name sounds like or is phonetically similar to a registered Indian company name, MCA will reject it.
