Regulatory Framework

An employment agreement, like any contract, must satisfy the essential elements of a valid contract under the Indian Contract Act, 1872. Section 2(a) and 2(b) require a lawful offer (by the employer) and its unqualified acceptance (by the employee); section 2(d) requires lawful consideration, ordinarily the salary/wages payable in exchange for services; sections 13 to 22 require the consent of both parties to be free of coercion, undue influence, fraud, misrepresentation, or mistake; section 11 requires both parties to be competent to contract (of the age of majority, of sound mind, and not disqualified by law); and section 23 requires the object and consideration of the agreement to be lawful.

Beyond the general contract framework, employment terms in India are also shaped by the applicable state's Shops and Establishments Act (which governs matters such as working hours, leave entitlement, and notice period for termination) and, where applicable, industry-specific labour legislation — these vary by state and by the nature of the establishment, and the specific notice-period/termination terms are confirmed against the establishment's registered state and category before being fixed in the agreement, rather than assumed uniformly across states.
