Overview

Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI LODR Regulations) is one of the most time-critical recurring compliance obligations for all listed companies in India. It mandates the preparation, approval, and public disclosure of quarterly and annual financial results — a standing obligation that arises four times every financial year, with penalties for late filing.

The key timelines under Regulation 33 are: Q1 (April–June), Q2 (July–September), Q3 (October–December) — financial results must be submitted to the stock exchange within 45 days of the end of each quarter. Q4 (January–March) / Annual — financial results must be submitted within 60 days of the end of the financial year (i.e., by 30 May).

For Q1, Q2, and Q3, the financial results must be accompanied by a Limited Review Report issued by the statutory auditor. A limited review is an assurance engagement that provides a lower level of assurance than a full audit. The statutory auditor performs analytical procedures and enquiries on the quarterly financial results and issues a report stating whether anything has come to their attention that causes them to believe the results are not prepared in accordance with the applicable accounting standards. ICAI's Standard on Review Engagements (SRE) 2410 governs the limited review process.

For Q4 and annual results, a full statutory audit is required — the auditor must issue an audit report with an opinion on the annual financial statements. Under SEBI's framework, many listed companies prepare both audited annual results and unaudited Q4 results simultaneously, with the audited annual results submitted together with the Q4 standalone and consolidated results.

The results must be approved by the Board of Directors and reviewed by the Audit Committee before submission to the exchange. The Audit Committee must meet to review the quarterly results and the limited review/audit report before the Board approves them. This creates a cascading meeting schedule: typically, the Audit Committee meets first, followed by the Board meeting on the same or next day, followed by the exchange filing.

SEBI LODR Regulation 33 also requires listed companies with subsidiaries to prepare and submit consolidated financial results in addition to standalone results, in accordance with Ind-AS 110 (Consolidated Financial Statements) for Ind-AS compliant companies.
